These terms govern your use of the Cobalt Reef website and describe the conditions under which we deliver our consulting services. Please read them before engaging with us.

By using this website or engaging our Services, you confirm that you have read and agree to these Terms & Conditions. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement on behalf of yourself or your organisation.
If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
Cobalt Reef provides brand positioning and identity consulting to businesses and organisations. The scope of any engagement is set out in a written proposal or engagement letter agreed by both parties. Current service offerings include:
Services are available to clients located in Malaysia and, where logistically practical, elsewhere. We reserve the right to decline or conclude an engagement at our reasonable discretion.

Delays in providing required inputs from the client side may affect timelines; Cobalt Reef will not be held responsible for delays arising from incomplete or late provision of client materials.
All content on this website — including text, design, graphics and structural arrangements — is the property of Cobalt Reef and is protected under applicable intellectual property laws. You may not reproduce, distribute or create derivative works from website content without prior written permission.
Upon receipt of full payment for an engagement, intellectual property rights in the Deliverables produced for that engagement transfer to the client. During an engagement, and until full payment is received, Cobalt Reef retains all rights in work produced.
Methodologies, frameworks, tools and know-how that Cobalt Reef brings to an engagement remain the property of Cobalt Reef. Deliverables may incorporate these elements under a limited, non-exclusive licence for the client's own internal use.
Unless you request otherwise in writing, Cobalt Reef may reference your organisation and the general nature of the engagement in our portfolio or credentials. We will not disclose confidential details without your consent.
Fees for each engagement are set out in the relevant proposal and are denominated in Malaysian Ringgit (MYR). Current indicative fees are published on this website and are subject to change for new engagements.
A deposit of 50% of the agreed fee is payable at the start of an engagement. The remaining balance is due on delivery of final Deliverables, or as otherwise agreed in writing. Retainer fees are invoiced monthly in advance.
Invoices not settled within 14 days of the due date may incur reasonable late payment charges. Cobalt Reef reserves the right to pause work on an engagement until outstanding amounts are resolved.
Material changes to the agreed scope — including additions of new workstreams or significant revisions — will be agreed in writing and may attract additional fees.
Deposits are non-refundable once work has commenced. Where an engagement is cancelled before work begins, we will review refund eligibility on a case-by-case basis.
Timelines set out in a proposal are indicative and depend on timely collaboration from the client. We will communicate any expected delay as soon as we become aware of it.
Deliverables are considered accepted if no written objection is raised within 7 business days of delivery. Reasonable revisions within the agreed scope are included; revisions beyond that scope will be discussed and agreed separately.
Both parties agree to keep confidential any non-public information shared in the course of an engagement. This obligation survives termination of the Agreement for a period of three years, except where disclosure is required by law.
Cobalt Reef will not share client materials or confidential information with third parties other than processors engaged to support the delivery of services, and only to the extent necessary.
Services are provided in good faith based on information available at the time. Cobalt Reef does not warrant that any particular commercial outcome will result from the use of Deliverables. Brand strategy and identity work involves judgement and interpretation; results depend on many factors outside our control, including market conditions, internal execution and competitive environment.
This website and its content are provided as is. We make reasonable efforts to keep information current and accurate, but we do not warrant the completeness or fitness for any particular purpose of website content.
To the fullest extent permitted by Malaysian law, Cobalt Reef's total liability for any claim arising from an engagement shall not exceed the total fees paid by the client for that engagement in the six months preceding the claim.
We shall not be liable for any indirect, consequential, special or incidental losses, including loss of profit, loss of business or reputational damage, whether arising in contract, tort or otherwise.
Nothing in these terms limits liability for fraud, wilful misconduct or any liability that cannot be excluded by law.
You agree to indemnify Cobalt Reef against any claims, losses or expenses (including reasonable legal costs) arising from your breach of these terms, your misuse of Deliverables, or any inaccurate information you have provided in the course of an engagement.
Either party may terminate an engagement with 14 days' written notice. On termination, the client shall pay for all work completed up to the termination date. Cobalt Reef will deliver all completed work in progress at the point of termination.
Cobalt Reef may terminate an engagement immediately if the client materially breaches these terms and fails to remedy the breach within 7 days of written notice.
Sections 5, 8, 9, 10, 11 and 13 survive termination.
These terms are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first attempt to resolve it informally through direct discussion. If not resolved within 30 days, either party may refer the matter to mediation before the Asian International Arbitration Centre (AIAC) or pursue it through the courts of Malaysia, which shall have exclusive jurisdiction.
We may update these terms from time to time. The current version and effective date are shown at the top of this page. Changes apply to new engagements and, where material, we will inform existing clients by email with reasonable notice. Continued use of our services after such notice constitutes acceptance.
